EcoDC Holding AB (publ) (“Company” or “EcoDataCenter”, and together with its subsidiaries the “Group”) today announces that ABG Sundal Collier AB (“ABGSC”) and Nordea Bank Abp (“Nordea”) have been mandated as joint bookrunners to arrange a series of fixed income investor meetings commencing on 21 September 2026, to explore the possibility to issue senior unsecured bonds in an expected amount of up to SEK 2,000 million under a framework of SEK 4,000 million and with a tenor of four years (the “New Green Bonds”). A capital markets transaction may follow subject to, among other things, prevailing market conditions.
The proceeds from the contemplated issuance of the New Green Bonds will be used in accordance with EcoDataCenter’s recently established green bond framework (the “Green Bond Framework”). The Green Bond Framework has been established in accordance with the Green Bond Principles developed by ICMA (International Capital Market Association) and has been evaluated by an independent third party, Sustainable Fitch (“Second Party Opinion”). The Green Bond Framework and the Second Party Opinion will be available on the Company’s website. Nordea has acted as sole sustainability coordinator for the Company’s Green Bond Framework.
In connection with the contemplated issue of the New Green Bonds, EcoDataCenter will offer holders of its outstanding senior unsecured bonds issued in 2024 (ISIN: SE0023111695) with an outstanding amount of SEK 1,000 million (the “Outstanding Bonds”) (of which the Company previously has repurchased, but not cancelled, SEK 142.50 million) to tender any and all of their Outstanding Bonds for repurchase by the Company for cash at a price of 101.425 per cent. of the nominal amount plus accrued but unpaid interest (the "Tender Offer"). ABGSC and Nordea have been mandated to act as dealer managers in the Tender Offer.
The Tender Offer expires at 14.00 CEST on 25 September 2026 unless extended, reopened, withdrawn or terminated at the discretion of the Company. Settlement of the Tender Offer is expected to occur on or about 2 October 2026 and is expected to coincide with the settlement date of the New Green Bonds to the extent possible. In connection with the allotment of the New Green Bonds, the Company will consider, inter alia, whether the investor seeking allotment of the New Green Bonds has validly participated in the Tender Offer. The Tender Offer is in its entirety conditional upon, among other things, a successful issue of the New Green Bonds.

Subject to a successful issuance of the New Green Bonds, EcoDataCenter further announces that it will exercise its right to voluntarily redeem early any Outstanding Bonds not repurchased through the Tender Offer (the “Early Redemption”). The Early Redemption is conditional upon the successful issuance and disbursement of the net proceeds of the New Green Bonds. In the event of such Early Redemption, the Outstanding Bonds will be redeemed in full on 15 October 2026 at a price equal to 101.425 per cent. of the nominal amount plus accrued and unpaid interest. The redemption amount will be paid to each person who is registered as an owner of Outstanding Bonds in the debt register maintained by Euroclear Nordics AB as of the record date, being 8 October 2026. A notice of the Early Redemption will be sent to directly registered owners of the Outstanding Bonds in the debt register as of 21 September 2026.
The proceeds from the issuance of the New Green Bonds will be applied towards (i) the refinancing of the Outstanding Bonds, (ii) the financing or refinancing of eligible green projects and assets in accordance with the Company’s Green Bond Framework, and (iii) transaction costs.
